A share sale is preferred over an asset purchase to support a smooth client transition. Given the high client concentration and the seller’s confidence in the long-term relationship with his top client, he is flexible on upfront consideration, provided there is a clearly defined tranche schedule and a minimum of 30% cash at closing. The seller is also open to structuring a portion of the consideration as an earn-out.
